Welcome to BioVett, a product of Milou AI ("BioVett," "Milou AI," "we," "us," or "our"). By accessing or using our website, products, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Product Description

BioVett is a research and analytics platform focused on the biotechnology sector, operated by Milou AI. The Service aggregates publicly available information (such as clinical trial data, news, filings, and market data) and uses artificial intelligence ("AI") models—including, but not limited to, models from OpenAI, Google (Gemini), Anthropic (Claude), and xAI—to summarize, synthesize, and generate written analyses, timelines, sentiment assessments, and other outputs ("AI Output").

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. To access certain features you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

3. AI-Generated Content — No Warranty of Accuracy

A significant portion of the Service consists of AI Output. You expressly acknowledge and agree that:

• AI Output is generated automatically by machine learning models and may contain errors, omissions, hallucinations, fabricated citations, outdated facts, biased reasoning, or other inaccuracies.
• We do not review, verify, fact-check, or endorse AI Output before it is displayed to you.
• We make no representation, warranty, or guarantee—express or implied—regarding the accuracy, completeness, reliability, timeliness, or fitness for any purpose of AI Output or any other information available through the Service.
• You are solely responsible for independently verifying any information before acting on it.
• Underlying third-party AI providers and data sources have their own terms and may change behavior, availability, or accuracy at any time.

4. No Investment, Financial, Legal, or Medical Advice

The Service is provided for informational and research purposes only. Nothing on the Service constitutes, and nothing on the Service should be construed as:

• investment advice, a recommendation to buy, sell, or hold any security, option, or other financial instrument, or a solicitation of any kind;
• financial, tax, accounting, or legal advice;
• medical, clinical, or pharmacological advice or guidance on the safety or efficacy of any drug, therapy, or treatment.

We are not a registered investment adviser, broker-dealer, financial planner, attorney, or healthcare provider. Trading and investing—particularly in biotechnology equities and options—involve substantial risk, including the potential loss of principal. Past performance does not guarantee future results. You should consult a licensed professional before making any investment, legal, tax, or medical decision. You assume all risk and full responsibility for any actions you take based on the Service.

5. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• violate any applicable federal, state, local, or international law or regulation, including securities laws;
• scrape, mirror, resell, or redistribute AI Output or other Service content without our prior written consent;
• reverse engineer, decompile, or attempt to extract the underlying models, prompts, or proprietary logic of the Service;
• use the Service to harass, harm, defame, or impersonate any person or entity;
• transmit spam, malware, or any content that infringes intellectual property or privacy rights;
• interfere with or disrupt the integrity or performance of the Service, including by automated means or excessive request volume.

6. User Content

Any tickers, notes, queries, or other inputs you submit ("User Content") remain your property. You grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit User Content as necessary to operate and improve the Service, including transmitting it to third-party AI providers to generate AI Output. You represent that you have all rights necessary to grant this license.

7. Third-Party Services and Data

The Service relies on third-party APIs, models, and data feeds (including AI providers, market data providers, news sources, and government databases). We do not control these third parties and are not responsible for their content, accuracy, availability, or practices. Your use of such third-party services is governed by their respective terms.

8. Intellectual Property

The Service, including its software, design, branding, and all non-User Content (excluding AI Output you generate), is owned by Milou AI or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for your personal, internal research purposes only.

9. Modification and Discontinuation

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

10. Disclaimer of Warranties

THE SERVICE AND ALL AI OUTPUT, DATA, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BIOVETT AND MILOU AI, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, INVESTMENT LOSSES, OR TRADING LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF—OR INABILITY TO USE—THE SERVICE OR ANY AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless BioVett, Milou AI, and their affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your use of the Service, (ii) your User Content, (iii) your violation of these Terms, or (iv) your violation of any third-party right, including any investment, trading, or medical decision made in reliance on AI Output.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above reflects the most recent revision. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

16. Entire Agreement and Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
